Terms of Use & EULA

These Terms of Use (the "Terms") are a legal agreement between you and Meep Me ("we", "us", or "our") governing your access to and use of the Meep Me mobile application (the "App") and any related services (collectively, the "Service"). By creating an account, signing in, or otherwise using the App, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. By using the App you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it updated. You may delete your account at any time from within the App. We may suspend or terminate your account if you violate these Terms.

3. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on a device you own or control, solely for your personal, non-commercial use. All rights not expressly granted are reserved.

4. User-Generated Content

The App lets you create and share short messages ("meeps", including text and voice). You retain ownership of the content you submit, but you grant us a worldwide, royalty-free, sublicensable license to host, store, transmit, display, and otherwise process that content solely for the purpose of operating, maintaining, and improving the Service.

You are solely responsible for the content you submit. You represent and warrant that you have all necessary rights to submit it and that your content does not violate these Terms or any applicable law.

5. Acceptable Use Policy

You may not use the App, and you may not submit any content through the App, that:

• Is unlawful, defamatory, obscene, pornographic, sexually explicit, violent, threatening, harassing, hateful, or discriminatory.
• Targets, sexualizes, or endangers minors, or constitutes child sexual abuse material (CSAM).
• Promotes self-harm, suicide, eating disorders, or violence against any person or group.
• Bullies, intimidates, or harasses any individual, or invades their privacy (including doxing or sharing non-public personal information).
• Infringes any patent, trademark, trade secret, copyright, right of publicity, or other intellectual-property or proprietary right.
• Contains malware, attempts to gain unauthorized access to the Service or other users' accounts, or otherwise interferes with the operation of the App.
• Constitutes spam, unsolicited advertising, chain letters, or commercial solicitations.
• Impersonates any person or entity or misrepresents your affiliation.
• Encourages or facilitates any of the above by another user.

We have zero tolerance for content or behavior that violates this Acceptable Use Policy. Violations may result in immediate removal of the offending content and immediate, permanent termination of the offending user's account, in our sole discretion.

6. Reporting and Blocking

The App provides in-app tools for you to (a) flag any meep that you believe is objectionable and (b) block any user whose behavior you find abusive. Blocking a user immediately removes their content from your feed and prevents them from sending you further messages, and also notifies us so we can investigate.

We review reports of objectionable content and abusive users and aim to act on credible reports within 24 hours by removing the offending content and, when warranted, ejecting the user from the Service.

7. Moderation and Enforcement

We may, but are not obligated to, monitor, review, or moderate content submitted through the App. We reserve the right, at our sole discretion, to refuse, remove, or restrict any content, and to suspend or terminate any account that we believe violates these Terms or is otherwise harmful to the Service or its users — with or without notice.

8. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the App ceases immediately. Sections 4, 5, 7, 9, 10, 11, and 12 survive termination.

9. Disclaimers

THE APP AND THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED USD $50.

11. Indemnification

You agree to indemnify and hold harmless Meep Me and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the App, (b) your content, or (c) your violation of these Terms or applicable law.

12. Apple App Store Additional Terms

If you obtained the App from the Apple App Store, the following additional terms apply:

• These Terms are between you and us only — not with Apple. Apple is not responsible for the App or its content.
• Your license to use the App is limited to use on Apple-branded devices that you own or control, as permitted by the Apple Media Services Terms.
• We, not Apple, are solely responsible for product warranties, support, and addressing any claims relating to the App, including product-liability, regulatory, or intellectual-property claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Changes

We may modify these Terms from time to time. If we make material changes, we will notify you, for example by updating the "Last updated" date above and, where appropriate, through an in-app notice. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the App will be the state and federal courts located in California, and you consent to personal jurisdiction in those courts.
